We Up ("we", "us") operates an online platform (including the website and/or mobile application) with the mission of providing quality products and services in the fields of knowledge and education. Our services include, without limitation, printed books, ebooks, online courses, and other related digital content and services (collectively, the "Services").

This document, the "Terms of Use", is an important legal instrument that sets out the rules, terms, responsibilities, and rights between you ("you", "user") and We Up when you interact with our platform.

By accessing, registering for an account, or using any Service of We Up, you confirm that you have read, understood, and fully agree to comply with all provisions in this document, as well as other related policies incorporated by reference, including the Privacy Policy and the Returns and Refund Policy. If you do not agree to any provision, please do not register for an account or continue to use our Services.

1. Account and Security

1.1. Account registration

To use certain features of the Services, you must register an account. You agree to provide information that is accurate, complete, and up to date as required by the registration form. You must have full civil capacity under Vietnamese law. If you do not yet have full civil capacity, your registration and use of the Services must be subject to the consent and supervision of your lawful representative.

When you register an account, access, or use any Service of We Up, you acknowledge and agree that you have voluntarily provided your personal data and authorize We Up to collect, store, and process such data in accordance with our Personal Data Protection Policy.

All activities relating to your personal data (including purposes of collection, scope of use, retention period, and your rights regarding the data) are specified in detail in the Personal Data Protection Policy, published publicly on We Up's website.

1.2. Account security

You are solely responsible for safeguarding your login credentials (username, password, OTP codes, etc.) and for all activities that occur under your account. You may not transfer, lease, lend, or share account access with any third party.

1.3. Incident notification

If you detect unauthorized access or suspect your account has been compromised, you must notify We Up immediately through official support channels. We Up shall not be liable for any loss or damage arising from your failure to comply with the security obligations above.

2. Use of Services and Content

2.1. Right to use

We Up grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your personal, non-commercial needs, in accordance with these Terms.

2.2. We Up content

All content on the We Up platform, including but not limited to logos, trademarks, interfaces, source code, text, images, video, audio, lectures, ebooks, and course materials (collectively, "Content") is owned by We Up or its licensors and is protected under Vietnamese and international intellectual property law.

2.3. User-generated content

When you upload comments, reviews, feedback, or any other content ("User Content") to We Up, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, copy, modify, extract, publish, display, and distribute that User Content on our platform and for lawful advertising and marketing purposes. You warrant that your User Content does not infringe copyright, privacy, or any other rights of third parties.

3. Prohibited conduct

When using We Up's Services, you must not engage in any of the following:

3.1. Copyright infringement

Copying, recording, downloading without authorization, distributing, reselling, renting, publicly sharing, or creating derivative works from any Content (especially course materials and ebooks) without We Up's prior written consent.

3.2. System interference

Deliberately interfering with, damaging, unlawfully accessing, or overloading the system; using bots, scripts, crawlers, or other automated tools to collect data, copy content, or interact with the platform without permission.

3.3. Violations of law and ethics

Using the Services for any unlawful purpose; posting or sharing content that is harassing, defamatory, offensive, obscene, violent, incites hostility, is discriminatory, or violates Vietnamese social ethics.

3.4. Impersonation and fraud

Impersonating any person or organization, providing misleading information, or engaging in fraudulent or deceptive conduct in transactions.

4. We Up's rights

4.1.

We Up may suspend, restrict, or permanently terminate your access to the Services at any time, without prior notice, if we have reasonable grounds to believe you have violated these Terms or applicable law.

4.2.

We Up may (but is not obligated to) monitor, edit, refuse to publish, or remove any User Content that we consider to violate these Terms, harm the community, or pose legal risk.

4.3.

We Up may change, update, suspend, or discontinue any feature, content, course, or product, and adjust prices or service fees at any time. Price changes apply to transactions occurring after the time of notice.

5. Payment, Delivery, and Returns

All processes and conditions relating to payment, order confirmation, shipping of printed books, and policies on returns and refunds are set out in detail in the Returns and Refund Policy. You are responsible for reviewing those policies before completing a transaction.

6. Limitation of liability

To the maximum extent permitted by law:

6.1.

We Up is not liable for any damage arising from your inability to access or use the Services, or from the conduct or content of other users on the platform.

6.2.

The Services are provided on an "as is" and "as available" basis. We do not warrant that the Services will always meet your requirements, operate continuously, without interruption, securely, or without errors.

6.3.

We are not liable for any delay, interruption, or damage due to force majeure events such as natural disasters, war, epidemics, national telecommunications network failures, changes in law, or other events beyond our reasonable control.

6.4.

We Up does not guarantee specific learning outcomes from courses. Results depend on each individual's effort, ability to absorb material, and practical application.

7. Termination of use

7.1.

You may stop using the Services or request account closure at any time through your account settings or by contacting customer support.

7.2.

We may terminate or suspend your account immediately, without compensation, if you materially violate these Terms of Use.

7.3.

When your account is terminated for any reason, provisions concerning intellectual property, limitation of liability, governing law, and other provisions that by their nature survive termination shall continue to apply.

8. Governing law and dispute resolution

8.1.

These Terms of Use are governed by and construed in accordance with the laws of the Socialist Republic of Vietnam.

8.2.

Any dispute or claim arising from or relating to use of the Services or these Terms shall first be addressed through negotiation and mediation in good faith.

8.3.

If negotiation and mediation fail, either party may bring the matter before a competent People's Court in Vietnam.

9. Effectiveness and updates

9.1.

These Terms of Use take effect from the "Last updated" date stated on the website.

9.2.

Accessing, registering, or using any Service of We Up after the effective date constitutes your full acceptance of these Terms of Use.

9.3. Changes and updates

We Up may amend, supplement, or replace any part of these Terms of Use at any time to reflect developments in the Services, changes in law, or management needs.

Changes will be published on the platform (website/application) and/or notified via the user's registered email. The "Last updated" heading at the top of this document will be adjusted accordingly.

You are responsible for reviewing the Terms of Use regularly. Your continued access or use of the Services after changes are published constitutes acceptance of those changes.

9.4.

If your account is terminated or you stop using the Services, We Up may retain certain information and data (e.g., transaction history, accounting records, personal information) as required by law on accounting, tax, or retention, or to protect We Up's lawful rights and interests within permitted limits.

9.5.

If any provision of these Terms of Use is held invalid or unenforceable by a competent court or regulator, the remaining provisions remain in full force and effect.
